Description

The Secretary of the Board of Trustees organizes and coordinates the entire documentary and administrative process of the Board's activity, ensuring the preparation and conduct of meetings, the formulation of protocols and decisions, document circulation and effective cooperation with the members of the Board. The position requires a high level of legal knowledge, experience in corporate governance, as well as the ability to effectively communicate with various stakeholders and coordinate several processes simultaneously.

Job Responsibilities

• Provides organizational and technical support to the Chairman of the Board or persons authorized by law and the Foundation’s Charter to convene a meeting during the preparation, planning, convening, holding and post-session processes of the Board’s meetings, including ensuring the timely provision of the agenda, necessary information and materials to the Board members.
• Prepares draft minutes of the Board’s meetings, ensuring that they include the information required by the legislation of the Republic of Armenia.
• Ensures the process of signing the minutes of the Board’s meetings, and if he acts as the secretary of the meeting at a given meeting, signs the minutes as the secretary of the given meeting in accordance with the procedure established by the legislation of the Republic of Armenia.
• Ensures the proper preservation of the minutes of the Board’s meetings, decisions, attached documents, documents addressed to the Board and issued by the Board or their copies, and the organization of document circulation, as well as keeps records of the provision of copies of the said documents.
• provides organizational and technical support in the process of making decisions by the Board using e-mail, other means of communication or by survey, including in the issues of providing ballots or other forms of surveys to Board members, recording the responses received, summarizing the voting results and storing relevant materials.
• collects and, in accordance with the procedure established by the internal procedures of the Fund, submits to the Chairman of the Board information on the implementation of the Board’s decisions, their non-implementation, violation of the deadlines for implementation or other significant violations.
• administers the procedures for declaring conflicts of interest, confidentiality and ethics of Board members, ensures the recording and storage of relevant declarations, records disclosures and self-disclaimers (withdrawals) regarding conflicts of interest, without limiting the exclusive jurisdiction of the Board to determine the existence of a conflict of interest and the measures to be applied in this regard.

Required Skills

• Higher legal education
• At least 5 years of professional experience, of which at least 3 years as a lawyer or corporate secretary.
• Experience in organizing the work of the Board of Trustees or the Board of Directors.
• Good knowledge of the legislation of the Republic of Armenia, corporate governance principles and the regulation of the activities of foundations.
• Experience in drafting corporate documents, protocols, decisions and official correspondence.
• Excellent working knowledge of Armenian and fluent knowledge of English

Job Responsibilities

• Conduct expert evaluation of reimbursement claims in accordance with the legislation of the Republic of Armenia and the Charter of the Foundation.
• Prepare and submit summary reports to the Team Leader regarding identified issues by specialties and by medical organizations and pharmacies.

• Identify, assess, and classify risks in claims processes by type of medical organizations and services.
